The Reserve Bank of India (RBI) has levied a monetary penalty of ₹27.30 lakh on Asset Care & Reconstruction Enterprise Limited (ACRE) for non-compliance with regulatory directions regarding income recognition, specifically pertaining to the charging of management fees.
The penalty was handed down via an order dated September 8, 2026, in exercise of powers conferred on the central bank under Section 12 read with Section 30A(1) of the Securitisation and Reconstruction of Financial Assets and Enforcement of Security Interest (SARFAESI) Act, 2002.
Regulatory Findings and Proceedings
The central bank conducted a statutory inspection of ACRE's operations and books with reference to its financial position as of March 31, 2025. During the supervisory examination, the regulator observed regulatory non-compliance regarding income recognition norms and the manner in which management fees were recovered.
Following the findings, the RBI issued a show-cause notice directing the asset reconstruction company (ARC) to explain why a penalty should not be imposed for the regulatory lapses.
Key steps leading to the enforcement order:
- The RBI conducted a comprehensive statutory audit based on financial data as of March 31, 2025.
- Supervisory findings established breaches in the directives governing income recognition and fee structures.
- A formal show-cause notice was served to ACRE seeking clarifications on the alleged irregularities.
- After reviewing the company’s written submissions and hearing oral representations during a personal hearing, the regulator concluded that the charges were sustained.
Scope of the Regulatory Action
The RBI clarified that the penalty is grounded purely in deficiencies relating to regulatory compliance and is not an evaluation of the legal validity of any transactions or contractual agreements entered into by ACRE with its customers or counterparties. The banking regulator also noted that the monetary fine does not prevent it from pursuing further supervisory or regulatory actions against the firm in the future if warranted.
Significance for the Indian Bad Debt Sector
Asset Reconstruction Companies play a pivotal role in the Indian banking system by acquiring non-performing assets (NPAs) from lenders and resolving stressed accounts. Over the past few years, the central bank has placed the sector under tighter governance, particularly scrutinising fee structures, accounting standards, and resolution timelines.
By penalising fee-related irregularities, the RBI sends a strong signal to ARCs that adherence to prudent income recognition standards remains non-negotiable as institutional investors and banks look to offload legacy stressed debt.
