SEBI Clears Kuku Technologies Confidential IPO Filing for Up to Rs 3,500 Crore Public Offer

The Securities and Exchange Board of India (SEBI) has cleared the confidential draft initial public offering (DRHP) filing submitted by Kuku Technologies, the parent company of vernacular audio and digital entertainment platforms Kuku FM and Kuku TV.
With regulatory clearance in place, the company is set to file its Updated Draft Red Herring Prospectus (UDRHP) in the coming weeks, setting the stage for a formal public issue targeted for the latter half of the financial year or early 2027.
Issue Details and Valuation Metrics
Kuku Technologies had confidentially lodged its initial draft papers with SEBI in June. The planned initial public offering will seek to raise between Rs 2,500 crore and Rs 3,500 crore. The public issue is structured as a book-built offering and will comprise a blend of:
- A fresh issue of equity shares to raise growth capital.
- An offer-for-sale (OFS) component by existing institutional investors and founders looking to trim their holdings.
The company is targeting an equity valuation of roughly Rs 15,000 crore (approximately $1.8 billion). This represents a significant step up from its previous funding round in late 2025, which had pegged its private market valuation at approximately Rs 4,500 crore ($500 million).
The syndicate managing the public issue includes Kotak Mahindra Capital, Jefferies, JM Financial, and Axis Capital.
Use of Proceeds and Capital Deployment
Proceeds from the primary portion of the public issue are earmarked to accelerate technology and operations across domestic and global markets.
Key Capital Allocation Priorities:
- Technology and AI Infrastructure: Scaling proprietary generative and predictive artificial intelligence models used in script structuring, personalization, and customer recommendation engines.
- Content Production: Expanding regional vernacular programming, alongside a massive scale-up of short-format episodic microdramas.
- International Expansion: Entering overseas markets with high diaspora and vernacular consumption demand, including the United States.
Operational Turnaround and Financial Trajectory
Kuku Technologies has experienced rapid top-line expansion in recent quarters. In the financial year ended March 2026, the company posted an operating revenue surge to over Rs 1,400 crore, jumping roughly six- to sevenfold compared to around Rs 240 crore recorded in FY25.
This revenue acceleration has been accompanied by improving unit economics. After years of investing heavily in customer acquisition, the company has operated near operational breakeven, aided by AI-driven automation that compressed content turnaround cycles from months to weeks.
Strategic Shift Toward Microdramas
Founded in 2018 by IIT alumni Lal Chand Bisu, Vinod Kumar Meena, and Vikas Goyal, the platform initially established dominance in Indian-language audiobooks, podcasts, and edutainment summaries under the Kuku FM brand.
However, growth has increasingly been anchored by its short-form video streaming arm, Kuku TV, launched in late 2024. The app focuses on microdramas—mobile-first serialized dramas with episodes lasting two to three minutes. Kuku TV has crossed 200 million downloads and is releasing more than 150 original series each month, supported by an expanding production base in Mumbai.
To date, the company has secured more than $150 million in funding from high-profile backers, including Granite Asia, Fundamentum Partnership, Krafton, Vertex Ventures, International Finance Corporation (IFC), Paramark Ventures, India Quotient, 3one4 Capital, and former Indian cricket captain Mahendra Singh Dhoni.
SEBI’s green light marks a notable milestone under India's confidential pre-filing framework, positioning Kuku Technologies among the premier home-grown digital entertainment platforms to approach Dalal Street.
