Gurugram-based used-car retailing unicorn Spinny has taken a decisive stride toward Dalal Street by confidentially pre-filing its draft red herring prospectus (DRHP) with the Securities and Exchange Board of India (SEBI). According to sources cited by Entrackr, the platform plans to raise between Rs 2,500 crore and Rs 3,000 crore through the proposed initial public offering.
The public offering is structured to include both a fresh issuance of equity shares and an offer for sale (OFS) by existing shareholders, with the platform targeting a market debut in calendar year 2027. Spinny has appointed investment banks Kotak Mahindra Capital, Morgan Stanley, and Citigroup to manage the issue.
Operational Scaling and FY26 Revenue Trajectory
The confidential pre-filing comes against a backdrop of rapid operational scaling and strong top-line momentum. Spinny’s revenue from operations increased by 25% year-on-year to Rs 4,657 crore in FY25, up from Rs 3,730 crore in FY24. Sources indicate that the platform's operating revenue is expected to touch around Rs 6,000 crore for FY26, making it one of the largest organised pre-owned car retail networks in the country.
Operationally, the platform sells roughly 15,000 vehicles a month. Spinny operates an asymmetric geographic model designed to gather supply broadly while serving demand through concentrated physical inspection and refurbishment hubs:
- Sourcing footprint spanning more than 100 seller cities across India.
- Distribution hubs serving buyers across 25 cities, with active plans to expand into 35 cities by adding 10 new urban markets.
- Comprehensive full-stack services including vehicle inspection, refurbishment, warranties, auto financing, insurance, and after-sales support.
Governance Steps and Ecosystem Expansion
Ahead of the confidential regulatory filing, the company completed several structural changes to align with public market governance standards. In August, Spinny converted its corporate parent from Valuedrive Technologies Private Limited into Valuedrive Technologies Limited.
To strengthen corporate oversight, the company onboarded high-profile independent board members, including former Bharti Group chief financial officer Akhil Gupta and Info Edge board member Geeta Mathur.
Founded in 2015 by Niraj Singh and Mohit Gupta, Spinny has raised substantial institutional capital from marquee backers, including Accel and Tiger Global. Over recent years, the firm expanded its operational capabilities via inorganic acquisitions:
- Truebil: Acquired to consolidate value-segment used-car transactions.
- GoMechanic: Acquired in 2024 to bolster in-house vehicle refurbishment and automotive servicing networks.
- Autocar India: Acquired in March 2025 to control automotive content, consumer discovery, and media reach.
Understanding the Confidential Filing Route
Spinny is utilizing SEBI’s confidential pre-filing route, a mechanism that allows prospective issuers to file draft papers without immediate disclosure of operational metrics, financial details, or valuation expectations to the wider public. Under SEBI regulations, the regulator reviews the draft and issues observations privately.
Spinny will only need to make an updated draft red herring prospectus publicly accessible closer to the launch of its investor roadshow, giving management significant flexibility to evaluate prevailing capital market conditions and fine-tune pricing dynamics ahead of its planned 2027 listing. If completed, Spinny could be the first pure-play full-stack used-car retail platform to list on Indian bourses, ahead of rivals such as Cars24 and CarDekho.
