Homegrown private equity firm True North has acquired a stake valued between $50 million and $60 million in mobile advertising platform InMobi as the startup accelerates preparations for its upcoming initial public offering (IPO).
The transaction was executed predominantly as a secondary share sale, with a possible minor primary component. Through this deal, True North acquired equity from early investors who entered through InMobi’s past acquisitions, employee stock option plan (ESOP) holders, and select founder-owned entities. Because the transaction was blended across multiple selling entities and share pools, the underlying company valuation was not formally disclosed.
The investment marks the debut technology sector allocation from True North’s seventh flagship private equity fund. The Mumbai-headquartered alternative asset manager has historically been active across consumer, healthcare, financial services, and digital engineering businesses.
Paving the Runway for a $1 Billion IPO
The secondary purchase comes at a pivotal time for InMobi, widely recognized as India’s first tech unicorn after achieving a billion-dollar valuation following SoftBank's investment in 2011. The company is preparing a mega public issue targeting roughly $1 billion (approximately ₹8,300–₹9,600 crore) in proceeds.
InMobi has appointed four investment banks to steer the listing process:
- JPMorgan Chase & Co.
- Jefferies
- Kotak Mahindra Capital
- Axis Capital
Preliminary discussions have pegged InMobi’s target market capitalization between $5 billion and $6 billion upon listing. If executed, the offering will represent one of the largest public market debuts in India's technology and software space.
Strategic Reverse-Flipping and Cap Table Consolidation
Founded in 2007 by Naveen Tewari, Piyush Shah, Mohit Saxena, and Abhay Singhal, InMobi initially made its mark in enterprise adtech before branching into consumer-facing platforms such as Glance, an AI-powered lock-screen content service launched in 2019.
Ahead of its planned listing on Indian exchanges, the group has been advancing its redomiciling process, moving its parent holding structure back from Singapore to India. This "reverse flip" enables the company to align with domestic regulatory frameworks administered by the Securities and Exchange Board of India (SEBI) and directly tap India's growing pool of mutual funds and retail investors.
The founders have also consolidated control of the cap table. Co-founders Tewari, Singhal, and Shah previously bought back an estimated 25% to 30% stake from anchor backer SoftBank, elevating cumulative founder holding to roughly 60%. CEO Naveen Tewari remains the largest single shareholder with an estimated 40% equity position.
Implications for the Indian Primary Market
The entry of True North via secondary liquidity provides crucial price discovery and cleans up legacy holding structures ahead of formal draft red herring prospectus (DRHP) filings.
For domestic investors, large-scale secondary buy-ins by institutional managers serve as a vote of confidence in InMobi's fundamentals. With public market scrutiny on tech IPOs shifting heavily toward sustainable operating profitability, cash flow generation, and corporate governance, institutional backing from veteran buyout firms signals robust pre-IPO diligence as InMobi prepares to debut on the National Stock Exchange (NSE) and BSE.
