Mumbai-based jewellery retailer M K Sons Fine Jewels Ltd, known for operating under the consumer brand MK Jewels, has secured clearance from the Securities and Exchange Board of India (SEBI) to proceed with its proposed initial public offering (IPO). The capital markets regulator issued its observation letter following preliminary draft papers filed in May, clearing the regulatory path for the retail chain to tap the primary equity market.

The book-built issue consists of a combination of fresh capital and a secondary share sale. According to the Draft Red Herring Prospectus (DRHP), the offer includes a fresh issue of up to 1.36 crore equity shares of face value ₹10 each and an Offer for Sale (OFS) of up to 34 lakh equity shares by promoter Ramchand Murlidhar Raimalani.

Utilisation of Issue Proceeds

M K Sons Fine Jewels intends to deploy the fresh capital raised to accelerate its physical presence across western India and deleverage its balance sheet.

  • Setting up a new retail showroom in Maharashtra.
  • Expanding and upgrading an existing showroom in Gujarat.
  • Prepayment or repayment of approximately ₹30 crore of outstanding company borrowings.
  • Allocating the residual balance toward general corporate purposes.

Incorporated in 2012, M K Sons Fine Jewels operates as a retail-focused jewellery enterprise catering to bridal, daily wear, and festive collections. Its product mix encompasses hallmarked gold, diamonds, precious gemstones, and cubic zirconia across rings, bangles, necklaces, bracelets, and solitaires.

The company currently manages five retail showrooms located across prime hubs in Mumbai and Ahmedabad, coupled with an online retail presence. In recent years, the retailer consolidated operations by acquiring the proprietor jewellery business of its promoter, establishing an unified operational model.

On the financial front, the jeweller reported revenue from operations of ₹351.28 crore in FY2024-25, registering a solid increase compared to ₹217.32 crore recorded in FY2023-24.

Issue Structure and Listing Details

The equity shares from the upcoming public issue are proposed to be listed on both the BSE and the National Stock Exchange of India (NSE). Aryaman Financial Services Limited has been appointed as the sole book-running lead manager to manage the issue, while Bigshare Services Private Limited will serve as the registrar.

The company will announce the price band, issue opening and closing dates, and minimum bid lot in consultation with the lead manager closer to launch.
