The SEBI proceedings follow an investigation initially pursued by the Office of the Commissioner, Central GST & Central Excise, Vadodara-II. Tax authorities had earlier raised a show cause notice against the company after search proceedings conducted at its factory premises.

According to the allegations highlighted by authorities:

  • Axel Polymers allegedly availed input tax credit without actual physical receipt of inward supplies of goods during the financial years 2021-22 to 2024-25.
  • The company allegedly passed on corresponding input tax credits downstream without making physical deliveries or supplies of goods.
  • Tax authorities have proposed a recovery of ₹31.57 crore, alongside applicable interest and penalty levies.

The escalation of the matter to SEBI indicates that the market regulator is examining potential disclosure lapses, governance issues, and regulatory non-compliances linked to the alleged fake invoicing and tax credit claims.

The ₹31.57 crore proposed tax recovery is substantial relative to Axel Polymers' scale of business. The company, which is listed on the BSE, has maintained that routine manufacturing and business operations remain unaffected at present.

Management has previously indicated that it intends to contest the tax claims and evaluate appropriate legal remedies, including approaching the Gujarat High Court through a writ petition. However, the initiation of formal SEBI adjudication adds legal complexity and governance headwinds that Indian equity investors will track closely as proceedings develop.
