Hi-Tech Flow Solutions Files DRHP with SEBI for IPO Featuring ₹300-Crore Fresh Issue

Industrial pipe manufacturer Hi-Tech Flow Solutions Limited has submitted preliminary papers with the capital markets regulator, the Securities and Exchange Board of India (SEBI), to launch an initial public offering (IPO).

According to the Draft Red Herring Prospectus (DRHP), the proposed initial share sale consists of a combination of a fresh issue of equity shares worth up to ₹300 crore and an Offer for Sale (OFS) component.

Offer Structure and Selling Shareholders

Under the OFS segment, promoter shareholders along with an institutional investor will offload a portion of their holdings.

The selling shareholders named in the draft prospectus include:

  • Promoter Ajay Kumar Bansal
  • Promoter Vipul Bansal
  • Investor The Wealth Company Alternates Trust – India Inflection Opportunity Fund

Because the proceeds from the OFS component go directly to the participating selling shareholders, the company will not receive any proceeds from that portion of the issue.

Objectives of the Fresh Issue

The net proceeds from the ₹300-crore fresh issue are designated for brownfield expansion, debt management, and general operations.

Key Fund Utilisation Plans:

  • Setting up an American Petroleum Institute (API)-grade helical submerged arc welded (HSAW) pipe manufacturing unit
  • Installing a 3-layer polyethylene (3LPE) coating facility within its existing Nagpur plant
  • Prepayment or full repayment of certain outstanding borrowings to lower finance costs
  • Funding general corporate purposes

In its draft filing, the company noted that listing on domestic stock exchanges will enhance corporate visibility, build brand equity among prospective clients, and provide liquidity through a public market for its equity shares.

Business Operations and Industry Position

Hi-Tech Flow Solutions manufactures and supplies specialized flow solution products, primarily helical submerged arc welded (HSAW) pipes, which are deployed in diverse water transmission, industrial, and infrastructure applications.

The company operates on a business-to-business (B2B) framework, serving private engineering, procurement, and construction (EPC) contractors engaged in large-scale national infrastructure and pipeline projects. At present, its supply footprint spans across 17 states and two union territories throughout India.

With the Indian government continuing to prioritise pipeline networks, irrigation, and urban water infrastructure initiatives, the company's planned expansion into higher-spec API-grade pipes and specialized coating is designed to tap into premium supply contracts across energy and fluid-transport sectors.
