Renewable energy solutions provider Integrum Energy Infrastructure Limited has filed preliminary papers with the Securities and Exchange Board of India (SEBI) to raise capital through an initial public offering (IPO). The Bengaluru-headquartered clean tech firm aims to utilise the issue proceeds to expand its project assets, pare debt, and fulfill working capital requirements.
Offer Structure and Issue Details
According to the Draft Red Herring Prospectus (DRHP), the proposed public offering comprises:
- A fresh issue of 1.58 crore equity shares.
- An Offer for Sale (OFS) of up to 82.42 lakh equity shares offloaded by promoters and existing shareholders.
The combined issue size stands at 2.41 crore equity shares. The book-running lead managers appointed to manage the public issue are Mefcom Capital Markets, Centrum Broking, and Beeline Capital Advisors.
The filing marks an upgrade in the company's capital market ambitions. Integrum Energy had previously prepared for a listing on the BSE SME platform with a proposed fresh issue of 49.50 lakh equity shares and an OFS of 5.40 lakh shares, but decided against advancing that process in favour of a mainboard public listing.
Deployment of Issue Proceeds
The net capital generated from the fresh issue is slated to strengthen multiple operational and strategic initiatives across the company's business verticals.
Key Objectives of the Issue:
- Funding the long-term and short-term working capital requirements of the company.
- Investing in wholly owned subsidiary Integrum Green Assets Private Limited to fund the procurement of wind turbine generators and associated balance-of-plant equipment.
- Prepayment or repayment, in full or part, of certain outstanding borrowings to reduce finance costs.
- Making a strategic investment to acquire a controlling interest in Stactiv Energy Services Private Limited.
- General corporate purposes.
Business Profile and Market Footprint
Integrum Energy operates as an integrated renewable energy and energy-management platform. The company focuses on industrial and commercial (C&I) clients seeking to reduce power overheads and reduce greenhouse gas emissions through customised solar, wind, and collocated hybrid energy configurations.
As of August 31, 2026, the company had successfully commissioned 263.19 MW of renewable energy capacity spanning hybrid, wind, and solar facilities. Its pipeline remains robust, with an executable order book of 241 MW, the majority of which is concentrated in wind and hybrid power installations.
