Jio Platforms Ltd, the digital holding unit of conglomerate Reliance Industries Ltd (RIL), is advancing toward an initial public offering (IPO) expected to open for public bidding on October 21. The issue, pegged at approximately $3.8 billion, is slated to become the largest-ever primary market offering in India.
According to merchant banking sources and draft filings, the proposed subscription window will run from October 21 to October 23, with the anchor allocation scheduled to open on October 19. If market conditions hold steady, trading debut on the BSE and the National Stock Exchange (NSE) is targeted for October 28.
Regulatory Clearance and Global Roadshows
The digital major cleared its principal domestic regulatory hurdle on August 28, when the Securities and Exchange Board of India (SEBI) issued its observation letter on the Draft Red Herring Prospectus (DRHP) submitted on June 19.
Preparation moved into its final stages after high-level institutional roadshows concluded in global financial centers including New York, London, Dubai, Singapore, and Hong Kong. The international marketing push was led by Jio Platforms Managing Director and Reliance Jio Chairman Akash Ambani, alongside Reliance Retail Ventures Executive Director Isha Ambani.
Issue Structure and Use of Proceeds
Unlike several prominent mega-issues in recent years that leaned heavily on existing backers offloading equity, Jio Platforms has structured this offering entirely as a fresh issue of up to 27 crore shares, representing roughly 2.9% of the post-issue equity base. Strategic and private equity backers—including Meta and Google—are not tendering shares through an Offer for Sale (OFS).
The primary proceeds are earmarked as follows:
- ₹27,500 crore will be utilized to prepay or repay outstanding borrowings of core subsidiary Reliance Jio Infocomm Ltd.
- The balance of the net proceeds will be deployed toward general corporate purposes and network operations.
At the anticipated price levels, bankers estimate an implied enterprise valuation of approximately $137 billion for Jio Platforms. The filing also includes a reserved shareholder allocation category for eligible equity holders of parent Reliance Industries.
Operational Footprint
The offering will introduce the country's largest telecom and digital infrastructure provider to standalone listing scrutiny. As of earlier regulatory disclosures, Reliance Jio Infocomm holds:
- A 39.29% share of India's mobile connections market, servicing over 500 million wireless subscribers.
- A 32.89% share of the fixed-line connection market, alongside the largest active standalone 5G user base outside mainland China.
The IPO marks the first public offering emerging directly from the Reliance group umbrella since Reliance Power went public in 2008, setting up an active late-October window for the Indian primary market.
