Swara Baby Products Secures SEBI Approval for ₹1,000 Crore IPO to Fund Expansion and Debt Repayment

Contract manufacturer Swara Baby Products has received final observations from the Securities and Exchange Board of India (SEBI) for its proposed ₹1,000 crore initial public offering (IPO). The company, which filed its draft red herring prospectus (DRHP) on July 2, 2026, received the regulatory clearance on October 6, 2026, clearing the path for its mainboard listing on the BSE and the National Stock Exchange of India (NSE).

Issue Structure and Stake Sale

The public issue will consist of a fresh issue of equity shares worth up to ₹500 crore alongside an Offer for Sale (OFS) of up to ₹500 crore by existing promoter group shareholders.

Under the OFS component:

  • Brainbees Solutions Ltd, the parent company of omnichannel babycare retailer FirstCry, will divest shares valued at up to ₹300 crore.
  • Anadya Bon Merchari LLP will offer shares worth up to ₹200 crore.

Swara Baby Products may also consider a pre-IPO placement of up to ₹100 crore in consultation with its merchant bankers. If executed, the proceeds raised will be deducted from the fresh issue component.

JM Financial Ltd and Avendus Capital Private Ltd are acting as the book-running lead managers for the issue, with MUFG Intime India Pvt Ltd appointed as the registrar.

Objects of the Issue

The company has outlined a focused capital deployment strategy for the net proceeds from the fresh issuance:

  • Capacity Expansion: ₹198.2 crore has been earmarked to part-finance the construction of a new manufacturing unit in Pithampur, Madhya Pradesh. The facility is planned to add an annual capacity of approximately 1,464 million baby diapers and 252 million adult diapers, alongside sanitary napkin manufacturing lines. Upon completion, Swara Baby's total proposed installed annual capacity is projected to reach 4,124 million baby diapers, 505 million adult diapers, and 948 million sanitary napkins.
  • Deleveraging: ₹100 crore will be utilized to repay or prepay existing company borrowings, while ₹27.5 crore will be invested across wholly owned subsidiaries—Solis Hygiene, Swara Hygiene, and KA Enterprises Hygiene Private Ltd (KAEHPL)—to retire their respective debt facilities.
  • Strategic Growth: The residual funds will be deployed toward inorganic growth opportunities via acquisitions and general corporate purposes.

Business Profile and Market Share

Founded in 2018, Swara Baby Products has evolved into India's largest contract manufacturer of disposable hygiene products by value, according to market data cited in its draft papers. As of FY25, the company held an estimated 37% share of India's baby diaper contract manufacturing market and a 36% share of the adult diaper contract manufacturing segment.

While contract manufacturing constitutes its primary revenue stream, the company also operates direct-to-consumer labels, marketing baby diapers under the "Cuddles" brand and adult incontinence products under the "Shield" label. In December 2025, Swara Baby expanded into the feminine care vertical by acquiring KA Enterprises Hygiene Private Ltd, which added ₹31.35 crore to its top line during its first year under company ownership.

Financial Performance

Swara Baby Products delivered consistent revenue and margin growth ahead of the filing:

  • Revenue from Operations: Consolidated revenue reached ₹1,163.9 crore in FY26, advancing roughly 23% from ₹942.97 crore recorded in FY25. Baby diapers remained the core contributor, generating ₹911.81 crore, or 79% of FY26 product sales.
  • Profitability: Consolidated profit after tax (PAT) rose over 18% to ₹95.58 crore in FY26 compared to ₹80.6 crore in FY25.
  • Operating Metrics: Earnings before interest, tax, depreciation, and amortization (EBITDA) stood at ₹192.77 crore for FY26.

With SEBI clearance secured, the company is expected to finalize its red herring prospectus, issue dates, and price band in the coming weeks.
