The Securities and Exchange Board of India (SEBI) has granted its final regulatory clearance to Indian Gas Exchange Ltd (IGX) for its initial public offering (IPO). The upcoming public issue will mark the stock market debut of the country's first and only authorised national-level physical delivery-based trading platform for natural gas.
The proposed issue consists entirely of an Offer for Sale (OFS) of up to 1.67 crore equity shares (face value of ₹10 each) offloaded by its promoter, Indian Energy Exchange Ltd (IEX). Because there is no fresh issue component, IGX will not receive any capital proceeds from the offering; all net proceeds will flow directly to IEX.
Regulatory Compliance Drives Divestment
The primary catalyst behind the IPO is regulatory compliance rather than operational capital requirements. Under the Petroleum and Natural Gas Regulatory Board (PNGRB) Gas Exchange Regulations, the shareholding of any single non-member entity in a gas exchange is capped at 25 percent.
IEX, which founded IGX in November 2019 as a wholly owned subsidiary, currently holds an equity stake of approximately 47.3 percent. Through this OFS, IEX plans to dilute its holding to the permissible 25 percent threshold while continuing as an anchor promoter.
Besides IEX, IGX counts marquee institutions and energy majors as equity partners, including:
- NSE Investments
- GAIL (India) Limited
- Oil and Natural Gas Corporation (ONGC)
- Indian Oil Corporation (IOCL)
- Adani Total Gas
- Torrent Gas
Financial and Operational Trajectory
IGX commenced delivery-based spot and forward trading operations in mid-2020 and received official authorization from the PNGRB in December 2020. The exchange has maintained a strong earnings profile supported by surging industrial gas volumes.
For FY26, IGX reported:
- Net profit rose 36.5 percent year-on-year to ₹42.02 crore, compared to ₹30.79 crore in FY25.
- Revenue from operations expanded by 25 percent to ₹61 crore from ₹48.8 crore in the preceding financial year.
- Total revenue including other income reached ₹84.84 crore.
- Traded volumes reached 76.79 million Metric Million British Thermal Units (MMBtu), growing at a compound annual rate of over 37 percent from 40.84 million MMBtu in FY24.
Strategic Market Significance for Indian Investors
IGX sits squarely at the center of the Government of India's long-term policy goal to boost the share of natural gas in the domestic primary energy mix from around 6.5 percent to 15 percent by 2030. By operating an electronic physical-delivery exchange across multiple regional delivery hubs connected to the national gas grid, the exchange has introduced transparent price discovery through its benchmark index (GIXI).
The exchange has also broadened its horizon beyond standard short-term and monthly contracts by introducing longer-dated delivery contracts, booking platforms for regasified LNG (R-LNG), and conceptualizing a hydrogen index.
Axis Capital Limited and Motilal Oswal Investment Advisors Limited are serving as the book-running lead managers for the issue, with KFin Technologies Limited appointed as the registrar. IGX's equity shares are scheduled for listing on the BSE.
