SEBI Exempts Research Analysts from Mandatory Call Recording for Institutional Investors Starting November 8
The Securities and Exchange Board of India (SEBI) has issued a circular relaxing compliance mandates for research analysts (RAs) and research entities, exempting them from mandatorily maintaining voice call recordings of conversations with institutional investors.
The circular, issued under Section 11(1) of the SEBI Act, 1992, read with Regulation 25(1)(vii) of the SEBI (Research Analysts) Regulations, 2014, will come into force on November 8, 2026. The move follows representations from market participants and the Industry Standards Forum for Research Analysts, which argued that institutional market participants possess the requisite resources, sophistication, and internal diligence mechanisms to assess research without requiring exhaustive telephony logs.
Regulatory Relief for Institutional Engagements
Under the previous compliance framework, research analysts were required to record and archive all client communications, including telephone conversations, to safeguard investor interests and enable supervisory tracking.
SEBI observed that institutional investors evaluate equity and debt research independently and conduct extensive checks prior to executing trades. Because research analysts provide non-individualised research recommendations rather than portfolio management or discretionary transaction execution, SEBI noted that mandatory call logging placed an unnecessary operational bottleneck on institutional desks without commensurate supervisory benefit.
The relaxation applies strictly to institutional investors as defined under Regulation 2(1)(y) of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018.
Retention Rules and Digital Audit Trails
While phone call recordings have been made optional for institutional interactions, SEBI emphasised that broader record-keeping obligations remain fully operational. Research analysts must maintain clear, verifiable records of conversations and service deliveries with all clients, including prospective clients prior to formal onboarding.
Permissible documentation channels include:
- Signed physical paperwork and records executed by the client
- Emails originating from registered email addresses
- SMS and verifiable text messaging records
- Optional call recordings or other legally verifiable digital trails
SEBI clarified that whenever interactions take place across electronic channels such as email, where an automated audit trail already exists, separate call logs are not necessary.
Five-Year Preservation Rule
All client communication logs must be maintained starting from the initial interaction through to the termination or completion of research services. Intermediaries are obligated to preserve these files for a minimum period of five years.
In situations where a dispute has been lodged or where SEBI specifically directs the preservation of documentation, the records must be maintained indefinitely until the matter is officially resolved or until SEBI issues further instructions.
The documentation requirements continue to apply across both fee-paying clients and non-fee-paying clients—such as entities receiving research as an ancillary, value-added service within a broader brokerage or banking umbrella.
Retail Protections Remain Intact
For domestic retail investors, the supervisory requirements remain entirely unchanged. Research analysts providing stock tips, equity reports, or advisory recommendations to retail clients must continue maintaining verifiable interaction records, including mandatory call recordings where communications occur over the telephone without an existing digital trail.
SEBI has directed the Research Analysts Administration and Supervisory Body (RAASB) to update its internal bye-laws, implement monitoring mechanisms, and formally notify its registered members of the changes ahead of the November 8 enforcement date.
