Zetwerk Debuts on Dalal Street Following Latham-Advised Rs 5,012 Crore IPO
Bengaluru-headquartered contract manufacturing major Zetwerk Manufacturing Businesses Limited has completed its initial public offering (IPO) on Dalal Street, raising ₹5,012 crore (approximately $529 million). International law firm Latham & Watkins advised the consortium of book-running lead managers on the offering, which successfully listed its equity shares on both the National Stock Exchange of India (NSE) and the BSE.
The public offering priced its equity shares at ₹151 per share, the upper end of its ₹143–₹151 price band. The stock made its market debut at a modest premium, opening at ₹159 on the BSE (up 5.30%) and ₹159.25 on the NSE (up 5.46%), beating subdued grey-market expectations. The listing valued the company at approximately ₹25,583 crore.
Legal and Underwriting Syndicate
The merchant banking syndicate for the transaction featured a mix of domestic and global investment banks. Kotak Mahindra Capital Company, Morgan Stanley India Company, Goldman Sachs (India) Securities, Avendus Capital, JM Financial, HSBC Securities and Capital Markets (India), and Pantomath Capital Advisors acted as book-running lead managers.
Latham & Watkins advised the book-running lead managers on cross-border legalities and securities regulations. The Latham team was led by Singapore partner Rajiv Gupta and Hong Kong partner Dominik Sklenar, alongside associates Jay Watanatornpitak, Kay Howe Lee, and Helan Sun, with tax counsel provided by Chicago partner Enrique Rene de Vera. Domestic legal counsel included Shardul Amarchand Mangaldas & Co (SAM), which advised the lead managers, and Trilegal, which represented the issuer, Zetwerk Manufacturing Businesses Limited.
Offer Structure and Capital Deployment
The ₹5,012 crore offering comprised two primary components:
- A fresh issue of equity shares amounting to ₹2,830 crore.
- An offer for sale (OFS) of shares worth ₹2,182 crore offloaded by promoters and institutional investors.
Early financial sponsors—including Peak XV Partners, Lightspeed Venture Partners, Accel India, and Kae Capital—diluted portions of their holdings through the OFS alongside company co-founders Amrit Acharya and Srinath Ramakkrushnan.
Ahead of public bidding, Zetwerk secured ₹2,251 crore from marquee anchor investors, including Goldman Sachs, BlackRock, and Capital Group. According to the company's prospectus, approximately ₹2,160 crore (about 76% of the fresh issue proceeds) will be deployed to repay and prepay borrowings undertaken by the parent company and nine subsidiaries, reducing interest obligations and strengthening balance-sheet health. The residual fresh funds will support inorganic expansion, general corporate needs, and growth initiatives.
Subscription Trends and Market Dynamics
The public issue witnessed selective appetite from investors, closing with an overall subscription rate of 3.06 times on its final bidding day. Institutional support served as the backbone of the book:
- Qualified Institutional Buyers (QIBs) bid 4.73 times their allotted quota.
- Non-Institutional Investors (NIIs) subscribed 1.40 times their allocation.
- The retail investor segment remained undersubscribed, booking just 73% of its reserved quota.
Unlike pure-play digital marketplaces, Zetwerk functions as a hybrid manufacturing platform linking industrial clients to contracted factory capacities through its proprietary software, Zetwerk OS. The company serves high-growth industries such as renewable energy, power transmission, consumer electronics, and aerospace. Zetwerk operated 26 owned facilities and collaborated with nearly 7,000 third-party fabricators by the close of fiscal 2026, marking a significant entry of tech-enabled capital goods operations onto the Indian mainboard exchanges.
