Moneyview Halves IPO Fresh Issue to Rs 750 Crore and Trims OFS Following SEBI Nod

Bengaluru-based digital lending unicorn Moneyview has decided to slash the fresh issue component of its proposed Initial Public Offering (IPO) by half, bringing it down to Rs 750 crore from the Rs 1,500 crore outlined in its initial Draft Red Herring Prospectus (DRHP). Alongside the fresh issue cut, the fintech major has also downsized its Offer for Sale (OFS) component to 10.04 crore equity shares from the earlier planned 13.6 crore shares.
The recalibration follows the receipt of final observations from the Securities and Exchange Board of India (SEBI), effectively clearing the path for the startup's listing on domestic bourses. Moneyview utilized capital market regulations that allow issuers to reduce their public offer size within specified limits without requiring a full refiling of draft papers.
Key Changes to the Offer Structure
The restructuring of Moneyview's public offering reflects a measured approach toward market absorption and dilution:
- Fresh Issue Halved: The new capital raise via fresh equity has been trimmed from Rs 1,500 crore to Rs 750 crore.

According to the company's initial disclosures, the fresh proceeds will primarily be routed to fuel loan book growth and maintain regulatory capital buffers. The primary allocations earmarked by the digital lender include:
- In-House NBFC Capitalisation: Funding its wholly owned non-banking financial company (NBFC) subsidiary, Whizdm Finance Private Limited, to fortify its net owned fund requirements and direct balance-sheet lending capacity.
- Default Loss Guarantee (DLG) Support: Backing loan disbursals initiated via bank and NBFC co-lending partners under the central bank's Default Loss Guarantee frameworks.
- General Corporate Purposes: Residual capital will be reserved to meet corporate expenses, debt servicing, and platform technological improvements.
Financial Profile and Operating Metric
Founded in 2014 by IIT Delhi graduates Puneet Agarwal and Sanjay Aggarwal, Moneyview operates an end-to-end digital lending and personal finance platform catering extensively to "Middle India," with close to 79% of its users located across tier-2 cities and beyond. Its financial offerings span personal loans, digital credit cards, insurance, and UPI transactions.
Unlike many growth-stage tech peers, Moneyview has demonstrated sustained operational profitability:
- FY25 Performance: The company registered an operating revenue of Rs 2,379 crore and closed the financial year with a net profit of Rs 240 crore.
- 9M FY26 Trajectory: In the nine months ended December 31, 2025, the company posted revenue of Rs 2,409 crore and net profit of Rs 245 crore, eclipsing its entire previous fiscal tally.
- Credit Scale: As of late December 2025, Moneyview reported managed Assets Under Management (AUM) of Rs 19,814 crore, accounting for roughly 11% of digital unsecured personal loan sanctions nationwide in FY25.

The public listing is managed by book-running lead managers including Axis Capital, BofA Securities India, Kotak Mahindra Capital Company, and IIFL Capital Services. The issue dates and price band are expected to be announced in the forthcoming weeks as the company files its updated Red Herring Prospectus (RHP) with the Registrar of Companies (RoC).
