Kolkata-headquartered biscuit and packaged foods manufacturer Anmol Industries has filed its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) to raise up to ₹1,800 crore (approximately $188 million) through an Initial Public Offering (IPO).
The proposed offering marks the company's second attempt to list on domestic bourses after previously securing regulatory approval for a ₹750 crore public issue in 2018, which was eventually shelved.
Issue Structure and Shareholding
The entire issue consists purely of an Offer for Sale (OFS), with no fresh issue component:
- Selling Shareholder: The Baijnath Choudhary & Family Trust, which serves as the company's promoter group and largest investor holding roughly 84% of equity, is the sole selling shareholder in the issue.
- Proceeds Allocation: Because the offering contains no fresh equity issuance, Anmol Industries will not receive any capital proceeds from the transaction; the entire net proceeds will go directly to the selling trust.
- Proposed Listing: The equity shares are slated to list on both the BSE and the National Stock Exchange of India (NSE).
Intensive Fiscal Services, ICICI Securities, and IIFL Capital Services have been appointed as the book-running lead managers to shepherd the issue.
Operational Profile and Financial Performance
Established in 1994, Anmol Industries has grown into one of India’s prominent regional FMCG players, operating primarily in the biscuits, cookies, and packaged cakes space. The company maintains a portfolio spanning more than 70 brands and has developed an international footprint with exports to 31 countries.
According to the draft prospectus, the firm experienced substantial earnings expansion in the financial year ended March 31:
- Net Profit: Profit after tax surged five-fold to ₹1.91 billion (₹191 crore).
- Revenue: Operating top-line expanded by 28% year-on-year to reach approximately ₹21 billion (₹2,100 crore).
Industry Landscape and Investor Takeaways
The filing comes amid renewed appetite in the Indian primary market, where domestic institutional inflows and robust retail participation have encouraged consumer-facing enterprises to hit the market.
In the domestic packaged food and bakery category, Anmol Industries competes directly with listed industry bellwethers such as Britannia Industries, ITC, and Mrs. Bectors Food Specialities. For primary market participants, Anmol's public float offers an additional play on India's packaged food consumption thematic, though analysts note that 100% secondary OFS structures require investors to scrutinize pure valuation multiples and secondary liquidity rather than balance sheet expansion triggers.
