Capital markets regulator Securities and Exchange Board of India (SEBI) has cleared the draft red herring prospectus of Bengaluru-headquartered defence electronics maker Tonbo Imaging India Limited, paving the way for its public listing on domestic bourses. The regulator issued its observation letter on the company's offer documents, giving the enterprise a 12-month runway to launch its maiden issue.

The proposed initial public offering is structured entirely as an Offer for Sale (OFS), with no fresh issuance of shares. Because there is no primary equity issuance, the company itself will not receive any capital from the public offering; the proceeds will be remitted entirely to the selling shareholders.

  • Up to 18,085,246 equity shares of face value ₹2 each to be offloaded in the OFS.
  • Promoters to offload up to 1,960,000 equity shares.
  • Promoter-group entity to sell up to 339,700 equity shares.
  • Existing investor selling shareholders to divest up to 15,635,046 equity shares.

JM Financial Limited and IIFL Capital Services Limited have been appointed as the book-running lead managers to orchestrate the public issue.

Tonbo Imaging has experienced rapid financial scale alongside the broader expansion in global defence modernisation. For the financial year ended March 31, 2025 (FY25), the company posted:

  • Revenue from operations of ₹469.08 crore.
  • Profit after tax (PAT) of ₹72.76 crore.

For the quarter ended June 30, 2025, revenue from operations stood at ₹68.68 crore, with profit after tax coming in at ₹5.43 crore. The company held a confirmed order book standing at ₹266.57 crore as of September 30, 2025, and secured additional contracts worth ₹71.68 crore during October and November 2025.

Marquee institutional and venture capital backers participating in or holding stakes around the listing include Qualcomm Ventures, Artiman, Edelweiss Value, Celesta Capital, HBL Engineering, Tenacity Ventures, India Exim Bank, and Florintree.
