Anarock Property Consultants Files DRHP for ₹1,000 Crore IPO

Leading real estate services firm Anarock Property Consultants Ltd has submitted its Draft Red Herring Prospectus (DRHP) to the Securities and Exchange Board of India (SEBI) to raise ₹1,000 crore through an Initial Public Offering (IPO).
The proposed issue is aimed at funding technological advancements, inorganic growth, and business expansion across primary property markets.
Issue Structure and Selling Shareholders
The ₹1,000 crore public offer comprises:
- A fresh issue of equity shares aggregating up to ₹550 crore.
- An Offer for Sale (OFS) of up to ₹450 crore by promoter and investor shareholders.
Under the OFS component, promoter selling shareholders Peter Properties Ltd and Khushi Trust will dilute part of their holdings. External investors offloading equity include funds managed by 360 ONE, Om Sai Trust, and Colared Consultants and Traders LLP.
Additionally, the company may explore a pre-IPO placement of up to ₹110 crore. If finalized, the fresh issue component will be scaled down proportionally.
Objectives of the Offer
According to the draft papers, the company plans to channel the net fresh capital into artificial intelligence (AI) adoption, platform scalability, and talent expansion:
- ₹80 crore allocated to AI augmentation and technology infrastructure for its core transaction advisory business.
- ₹25 crore set aside for developing and scaling ACP technology solutions.
- ₹15 crore earmarked for technology enhancement within its property management subsidiary, Anacity.
- ₹89.5 crore designated to augment human capital, support existing business verticals, and build new specialised service lines.
- ₹148 crore reserved to fund the DSP Acquisition.
The remaining net proceeds from the fresh issue will be utilized for unidentified future acquisitions, strategic business initiatives, and general corporate purposes.
Business Footprint and Market Context
Anarock previously secured ₹200 crore from 360 ONE Asset Management Ltd in 2024 to support organic expansion and strategic buyouts. The consultancy employs approximately 2,300 personnel, operating across major tier-1 and tier-2 urban centers in India as well as markets in the Middle East.
The transaction advisory sector in India has witnessed robust growth over the past few years, driven by formalization under RERA, sustained residential sales, and institutional interest in commercial property. Anarock's potential listing would introduce a direct, pure-play real estate brokerage and advisory business model to domestic stock exchanges.
The equity shares are proposed to be listed on the BSE and the National Stock Exchange of India (NSE). ICICI Securities, IIFL Capital Services, and 360 ONE WAM are serving as the book-running lead managers, with KFin Technologies appointed as the registrar for the offer.
