SEBI Extends Compliance Deadline for Debenture Trustees to April 27, 2027
The Securities and Exchange Board of India (SEBI) has extended the compliance deadline by six months, till April 27, 2027, for registered debenture trustees (DTs) to comply with norms governing activities that fall outside its regulatory purview.
Under the circular issued by the Department of Debt and Hybrid Securities (Circular No. HO/(201)2026-DDHS-POD1/I/24467/2026), debenture trustees have been given additional time to segregate their non-SEBI-regulated business operations into Separate Business Units (SBUs).
The Regulatory Backdrop
The requirement originates from the insertion of Regulation 9C under the SEBI (Debenture Trustees) Regulations, 1993, notified through the SEBI (Debenture Trustees) (Amendment) Regulations, 2025, on October 27, 2025. The rule mandates that debenture trustees holding a valid registration certificate must segregate activities not regulated by SEBI into distinct business units within six months of notification, or within an extended timeframe permitted by the regulator.
SEBI subsequently detailed the operational mechanics and terms and conditions for such segregation through a circular dated November 25, 2025. The segregation aims to resolve potential conflicts of interest, prevent cross-subsidisation, and ensure that trustees focus on their fiduciary obligations toward bondholders under securities market regulations.
Sequence of Extensions
This marks the second regulatory extension granted to the debenture trusteeship industry:
- Initial Six-Month Extension (April 2026): After industry representations highlighted practical difficulties in setting up the required systems, infrastructure, and legal structures, SEBI issued a circular on April 28, 2026, extending the initial compliance date to October 27, 2026.
- Second Extension to April 2027: In June 2026, SEBI constituted an Expert Working Group (EWG) to undertake a comprehensive review of the entire regulatory framework governing debenture trustees, including the SBU architecture and other incidental operational matters. Following further submissions by debenture trustee associations pointing to ongoing implementation bottlenecks, SEBI deferred the timeline to April 27, 2027.
SEBI clarified that all other provisions of the framework laid down in the November 25, 2025 circular remain unchanged. The directive was issued under Section 11(1) of the Securities and Exchange Board of India Act, 1992, read with Regulation 2A of the SEBI (Debenture Trustees) Regulations, 1993.
Significance for the Indian Debt Market
Debenture trustees play a critical role as primary gatekeepers in India's rapidly expanding corporate debt market. They are tasked with:
- Protecting the interests of non-convertible debenture (NCD) holders.
- Monitoring issuer security cover and collateral maintenance on an ongoing basis.
- Initiating recovery and enforcement procedures in the event of credit defaults.
Many trust companies in India carry out diverse activities alongside listed bond trusteeship, such as security trusteeship for bank loans, facility agent roles, and private family trust services. Setting up separate, standalone business entities or distinct operational divisions requires comprehensive reorganisations of human resources, capital allocation, and IT infrastructure.
Market participants note that the additional six-month runway prevents operational friction that could have spilled over into bond issuance workflows and reporting mechanisms, giving institutions adequate time to adapt to the Expert Working Group's upcoming recommendations.
