SEBI Imposes ₹88 Lakh Fine on EKI Energy and 7 Officials, Debars Company and Top Brass Over Financial Misrepresentation
Capital markets regulator Securities and Exchange Board of India (SEBI) has penalized carbon credit trading and advisory firm EKI Energy Services Ltd and seven of its current and former key officials, levying collective fines of ₹88 lakh. In a 94-page final order, the regulator also barred the listed firm and four individuals from accessing the securities market for periods ranging from one month to one year.
The regulatory crackdown follows findings that EKI Energy indulged in premature revenue recognition and diverted corporate funds by fabricating expenses. SEBI designated the company's disclosure practices as "reckless financial misrepresentation connected with investor decisions concerning its listed shares".
Key Findings: Premature Revenue and Diverted Funds
SEBI’s investigation uncovered major accounting irregularities spanning Financial Year 2021-22 (FY22) and Financial Year 2022-23 (FY23):
- Premature Revenue Recognition: EKI Energy recognized revenue aggregating ₹197.04 crore during the first three quarters of FY23 before meeting the performance obligations required under applicable accounting standards, significantly distorting the company's financial health.
- Fictitious Expenses and Fund Diversion: The company overstated expenses by ₹26.34 crore across FY22 and FY23 under heads such as consultancy, commission, and professional charges. The regulator held that payments were booked against services that were never rendered, amounting to an unlawful diversion of company funds.
SEBI explicitly directed Chairman and Managing Director Manish Kumar Dabkara to initiate immediate recovery procedures to recoup the diverted ₹26.34 crore back into the company's coffers.
Debarment and Fine Breakdown
The market watchdog barred EKI Energy Services from the securities market for a period of two months. Individual debarments and penalties were distributed among the leadership:
- Manish Kumar Dabkara (Chairman & MD): Debarred from the securities market for 12 months and fined ₹28 lakh.
- Mohit Kumar Agarwal (Former CFO): Debarred for eight months and slapped with a penalty of ₹19 lakh.
- Naveen Sharma (Whole-Time Director): Restrained from the securities market for five months alongside a penalty of ₹13 lakh.
- Sonali Sheikh (Whole-Time Director and Former CFO): Prohibited for one month and penalized ₹6 lakh.

Additionally, three other officials were subjected to monetary fines without market debarment:

- Ritesh Gupta (Independent Director): Fined ₹4 lakh.
- Itisha Sahu (Former Compliance Officer): Fined ₹2 lakh.
All noticees have been ordered to deposit their respective penalties within 45 days of receiving the order.
Impact on Investors and Corporate Governance
EKI Energy Services was one of the market's high-flying stocks following its listing on the BSE SME platform in 2021 before migrating to the main board, buoyed by the global frenzy surrounding voluntary carbon markets. However, the company came under intense scrutiny in early 2023 when statutory auditors raised concerns over revenue recognition models and disputed accounting practices, sending its share price into a steep decline.
While EKI argued during regulatory proceedings that its accounting treatment was a bona fide interpretation in an evolving carbon-credit ecosystem and noted that it had subsequently restated its financials, SEBI dismissed these justifications, pointing out that published misstatements directly skewed retail and institutional market perceptions. The noticees retain the right to challenge SEBI's decision before the Securities Appellate Tribunal (SAT).
