SEBI Eases Accredited Investor Norms to Expand Sophisticated Investor Pool to 4 Lakh

The Securities and Exchange Board of India (SEBI) has approved a comprehensive overhaul of its regulatory regime for accredited investors, aiming to cut operational red tape, accelerate capital formation, and expand access to sophisticated investment products across the country.

The regulatory revamp introduces an asset-based qualification pathway, enables investment managers to verify clients directly, and confers automatic deemed status to non-resident investors. According to regulatory estimates, the introduction of a standalone securities market exposure criterion alone could expand India's accredited investor pool to approximately 4 lakh individuals and entities, up from the current Alternative Investment Fund (AIF) investor base of around 1 lakh.

New Eligibility Pathways and Asset Thresholds

Under the previous framework, investor accreditation relied strictly on overall net worth and annual income thresholds verified by third-party accreditation agencies. The revised framework establishes an additional standalone route based directly on verifiable holdings in securities market assets:

  • Individuals, HUFs, and Family Trusts: Eligible if they hold at least ₹5 crore in securities market assets. Qualifying assets encompass dematerialised equity and debt instruments, mutual fund folios, units of Real Estate Investment Trusts (REITs), Infrastructure Investment Trusts (InvITs), AIFs, and dematerialised unlisted securities.
  • Body Corporates and Other Trusts: Eligible if they hold at least ₹20 crore in securities market assets.
  • Limited Liability Partnerships (LLPs): LLPs can now attain accredited investor status if each partner independently satisfies the eligibility criteria. Previously, LLPs were subject to a rigid net-worth requirement of ₹50 crore.

These thresholds exist alongside established criteria, such as an annual income of at least ₹2 crore or a minimum net worth of ₹7.5 crore (with at least ₹3.75 crore in financial assets).

Manager-Led Accreditation and Three-Year Validity

To eliminate procedural bottlenecks, SEBI has introduced an optional manager-led onboarding model. Previously, high-net-worth investors were required to secure accreditation certificates exclusively through registered accreditation agencies before approaching fund managers.

Under the new norms, managers of AIFs, asset management companies running Specialised Investment Funds (SIFs), and SEBI-registered portfolio managers (PMS) are authorised to evaluate and certify an investor's accreditation directly during onboarding. The assessment can rely on verified Income Tax Returns, demat/broker holding statements, or a Chartered Accountant certificate dated within the preceding six months.

Accreditation issued through either the manager-led route or existing accreditation agencies will now remain valid for three years. Furthermore, manager-led accreditation is portable across AIF, SIF, and PMS offerings managed within the same corporate group, avoiding redundant verifications.

Easier Entry for Global Capital

In a key concession for international wealth, SEBI has extended deemed accredited investor status to all persons resident outside India (PROI), including Foreign Portfolio Investors (FPIs). Overseas investors will no longer need to undergo domestic certification paperwork to participate in products where accredited status confers regulatory flexibility.

The deregulation marks a structural push by the market regulator to transition India's wealth management and alternative assets industry toward a regulation-light framework for financially sophisticated participants, mirroring global practices in mature financial jurisdictions.
