NLC India Approves Sale of Up to 10 Crore Shares in Renewable Arm IPO
In a major step toward listing its clean energy arm on domestic bourses, state-run Navratna undertaking NLC India Limited announced that its board of directors has cleared a proposal to offload up to 10 crore equity shares in wholly-owned subsidiary NLC India Renewables Limited (NIRL). The divestment will take place via an Offer for Sale (OFS) as part of NIRL's proposed Initial Public Offering (IPO), subject to statutory approvals and regulations laid down by the Securities and Exchange Board of India (SEBI).
The shares to be offloaded carry a face value of ₹10 each. The move formalises NLC India’s plan to dilute up to a 25% stake in its green power business to raise between ₹2,000 crore and ₹4,000 crore, unlocking enterprise value as the parent company pivots toward clean energy infrastructure.
Strategic Carve-Out of Renewable Portfolio
The board's approval follows a phased restructuring through which NLC India consolidated its green energy operations under NIRL. Under a Business Transfer Agreement, the parent transferred 1,430 megawatts (MW) of operational wind and solar assets to the subsidiary.
In October 2026, NLC India infused ₹2,000 crore into NIRL, bringing its total equity investment in the renewable vehicle to ₹5,119.75 crore. The green subsidiary is tasked with driving the company’s ambitious expansion from its legacy lignite operations to build over 8 GW in prospective solar and wind capacity.
The board had originally accorded in-principle approval for NIRL's stock exchange listing on January 12, 2026. The latest clearance determines the exact secondary share count that NLC India will tender into the issue, while the final offer size, price band, and potential fresh issue component will be outlined in the draft red herring prospectus.
Broad Board Approvals and Solid Q2 Earnings
The disinvestment clearance arrived alongside a slate of strategic and financial announcements approved by NLC India's board during its meeting:
- Capacity Expansion: The board sanctioned an additional 660 MW expansion unit for Neyveli Uttar Pradesh Power Limited (NUPPL) at the Ghatampur Thermal Power Station, adding to the existing 1,980 MW facility.
- Debt Mobilisation: A proposal to raise up to ₹2,500 crore in phases through bonds in the form of non-convertible debentures was approved.
- Interim Dividend: The company declared an interim dividend of 15%, or ₹1.50 per equity share (face value ₹10) for FY27, fixing November 12, 2026, as the record date.
For the quarter ended September 30, 2026, NLC India reported a consolidated net profit of ₹1,380.67 crore, more than doubling from ₹665.12 crore in the corresponding quarter of the previous financial year. Revenue from operations climbed 13.3% year-on-year to ₹4,732.35 crore from ₹4,178.41 crore.
Market Reaction
Reacting to the IPO progress and quarterly earnings, shares of NLC India jumped nearly 9% on November 4, 2026, ending at ₹250.98 on the National Stock Exchange (NSE).
For Indian market participants, the listing of NIRL aligns with a broader trend of public sector energy majors—such as NTPC and SJVN—carving out and listing renewable subsidiaries to attract domestic and global ESG capital while funding high-capex solar and wind pipelines.
