Coca-Cola Weighs December Draft Filing for 1 Billion Dollar India Bottling Arm IPO

Global beverage major Coca-Cola Co. is considering submitting a draft red herring prospectus (DRHP) in December for an initial public offering (IPO) of its Indian bottling subsidiary, Hindustan Coca-Cola Beverages Pvt. Ltd. (HCCB). The Atlanta-based company is seeking a valuation of roughly $10 billion for the unit, with the planned market debut expected to raise around $1 billion.
The proposed offering is structured largely as an Offer for Sale (OFS), through which existing shareholders intend to dilute part of their holdings to unlock value in the fast-growing Indian market. However, deliberations remain ongoing, and the ultimate timeline, valuation, and transaction structure may change based on prevailing market conditions.
Expanded Syndicate of Investment Bankers
To steer the public issue, Coca-Cola has recently added two domestic investment banks to its transaction syndicate:
- Axis Capital Ltd.
- IIFL Capital Services Ltd.
These domestic firms join a high-profile syndicate that already includes Kotak Mahindra Capital Co., Citigroup Inc., JPMorgan Chase & Co., and Morgan Stanley.
Riding a Historic Primary Market Wave
The timing of the prospective listing comes during an unprecedented run for India’s equity capital markets. Strong retail participation, sustained inflows into domestic institutional mutual funds, and appetite for large consumer-facing businesses have propelled fundraising volumes to record levels. India's public markets have already absorbed over $13 billion across roughly 250 offerings this year, with blockbuster quarterly totals driven by large-scale listings.
HCCB operates 16 manufacturing plants across India, producing and distributing flagship brands such as Coca-Cola, Thums Up, Sprite, Minute Maid, Maaza, and Kinley. A public listing would provide a major peer to domestic listed bottling counterpart Varun Beverages Ltd., which handles bottling and distribution for rival PepsiCo across large parts of South Asia and Africa.
For domestic equity investors and institutional funds, an HCCB debut will deliver a direct consumer-goods pure-play on India's beverage consumption story, expanding the FMCG basket with one of the most visible multinational corporate listings of the decade.
