Tonbo Imaging Secures SEBI Clearance for Offer for Sale IPO — October 1, 2026

Defence electronics original equipment manufacturer (OEM) Tonbo Imaging India Limited has obtained final approval from the Securities and Exchange Board of India (SEBI) to launch its initial public offering (IPO). The clearance paves the way for the Bengaluru-headquartered firm to tap domestic primary markets amid sustained investor interest in indigenous defence manufacturing.

Issue Structure and Selling Shareholders

The maiden public issue is structured entirely as an Offer for Sale (OFS) of up to 18,085,246 equity shares of face value ₹2 each. Because the issue contains no fresh issue component, Tonbo Imaging will not receive any capital proceeds, and the entire realization from the share sale will go directly to the selling shareholders.

The selling shareholders comprise the core promoters, a promoter group entity, and institutional investors. The company is promoted by Arvind Kondangi Lakshmikumar, Ankit Kumar, and Cecilia D'Souza. Its marquee institutional backer roster includes:

Business Profile and Intellectual Property

Founded in 2003, Tonbo Imaging transitioned into a dedicated defence electronics developer in 2012 following a management buyout. The firm specializes in electro-optics, sensing, multi-sensor surveillance, weapon sights, fire-control systems, target acquisition, and missile seekers.

According to a Frost & Sullivan report cited in its draft red herring prospectus (DRHP), Tonbo Imaging ranked as the largest manufacturer by sales value of thermal imaging systems supplied to Indian government and defence agencies between FY24 and FY26. Additionally, the company accounted for 94.3% of India's total thermal imaging unit exports during the same period. As of March 31, 2026, the company reported more than 28,000 systems deployed across 24 countries.

The company functions on an asset-light operating model. It owns 100% of its intellectual property spanning embedded software, optical assemblies, and electronics hardware, while outsourcing physical board assembly and manufacturing to certified electronics manufacturing services (EMS) partners, including Kaynes Technology India and Avalon Technologies. System integration, testing, and qualification remain in-house.

Financial Snapshot and Growth Metrics

For the financial year ended March 31, 2026, Tonbo Imaging posted a restated net profit of ₹50.8 crore, compared to ₹72.7 crore recorded in FY25. Revenue from operations for FY26 stood at ₹362.6 crore, moderating 22% year-on-year from ₹469 crore in FY25.

The company's order book stood at ₹266.57 crore as of September 30, 2025, and secured an additional ₹71.68 crore in fresh contracts between October 1, 2025, and November 30, 2025.

Key Investment Risks

In its DRHP filings, the company outlined several key operational risks:

  • Tender-driven revenues: Heavy dependence on government and defence procurement tenders, which frequently face prolonged evaluation cycles or procedural award delays.
  • Client concentration: A significant portion of revenue is tied to a small set of clients, with the largest single customer contributing 13.78% of total revenue in FY26.
  • Export dependencies: Elevated reliance on export licenses, foreign defence budgets, and cross-border geopolitical shifts to sustain volume deliveries.

The pricing band and issue timetable are expected to be finalized and declared following consultations with the merchant bankers.
