Cult.Fit Completes IPO Roadshows, Eyes Mid-December Listing on Dalal Street — October 30, 2026
Health and fitness ecosystem Cult.Fit has completed investor roadshows across key global financial centres and is now targeting a listing on Indian bourses by mid-December. The development positions the fitness platform among the major consumer-tech companies preparing to tap the primary market before the end of the calendar year.
The company is preparing to file an updated Draft Red Herring Prospectus (UDRHP) with the Securities and Exchange Board of India (SEBI) by late November to incorporate its latest financial numbers and disclosures.
Issue Structure and Key Stakeholders
Cult.Fit had originally filed its draft papers with SEBI in July. The proposed initial public offering (IPO) consists of two main legs:
- Fresh Issue: A primary equity issuance to raise up to ₹950 crore to support expansion initiatives and balance-sheet deleveraging.
- Offer for Sale (OFS): Up to 17.86 crore equity shares offered by promoters and early venture backers seeking partial exits.
Key institutional and strategic stakeholders participating in the OFS include Tata Digital Private Limited, Temasek arm MacRitchie Investments Pte. Ltd., Fitness First Luxembourg S.C.A., IDG Ventures India Fund III LLC, and co-founder Mukesh Bansal.
Market estimates peg the total fundraising size at approximately ₹3,500 crore to ₹4,000 crore, with the company eyeing an equity valuation between ₹16,000 crore and ₹17,000 crore (around $2 billion).
Deployment of Proceeds
According to the regulatory filings, Cult.Fit plans to channel net proceeds from the fresh capital raise into offline footprint expansion and debt retirement:
- Gym Network Expansion: Over ₹276 crore allocated toward launching premium Cult Elite and accessible Cult Neo workout centres across top domestic hubs.
- Lease Commitments: Around ₹217.50 crore set aside for rent and lease payments on existing company-owned centres.
- Debt Repayment: Approximately ₹120 crore earmarked to pay down outstanding borrowings, including loans from HDFC Bank, to trim finance costs.
- Brand Building & Retail: Dedicated allocations of ₹75 crore for marketing outreach and ₹23.40 crore toward retail subsidiary Cultsport to scale physical exclusive-brand outlets.
Tier-2 and Tier-3 Growth Strategy
Alongside holding overseas investor interactions, the fitness major is sharpening its geographical expansion beyond metropolitan areas. Cult.Fit has seen accelerating demand and footprint additions across Tier-2 and Tier-3 urban centres, led by cities such as Chandigarh, Indore, and Vijayawada.
The broader strategy aims to bridge low organised fitness penetration in Indian urban centers while leveraging its hybrid digital-and-physical membership model.
Financial Turnaround
Cult.Fit's IPO push follows sustained improvements in financial performance and unit economics.
Operating revenue climbed 41.4% to ₹1,720.6 crore in FY26 compared to ₹1,215.5 crore in FY25, driven by membership renewals, fitness classes, and activewear sales. Concurrently, consolidated net losses narrowed sharply to ₹251.9 crore in FY26 from ₹480.8 crore in FY25 and ₹888.5 crore in FY24.
The platform also transitioned into operating profitability, generating positive earnings before interest, taxes, depreciation, and amortisation (EBITDA), aided by operating leverage and disciplined store-level overheads. The company proposes to list its equity shares on both the BSE and the National Stock Exchange of India (NSE).
