Encube Ethicals Plans $317 Million Mumbai IPO Backed by Quadria Capital
Mumbai-based specialty pharmaceutical firm Encube Ethicals is preparing to launch an initial public offering (IPO) that could raise about ₹3,000 crore ($317 million). The company, which is backed by healthcare-focused private equity firm Quadria Capital, had filed its draft red herring prospectus (DRHP) with the Securities and Exchange Board of India (SEBI) and is seeking to list its equity shares on both the BSE and the National Stock Exchange (NSE).
Issue Structure and Selling Shareholders
The proposed public issue is structured entirely as an Offer for Sale (OFS), meaning the company will not receive any fresh capital infusion from the proceeds. Instead, the funds will go directly to the offloading shareholders:
- Promoter Mehul Madhusudan Shah
- Investor Frontier Investment Holdings Pte. Limited
The offering provides liquidity to early stakeholders, including backing affiliated with Quadria Capital. Investment banks JM Financial, Axis Capital, and Kotak Mahindra Capital Company are acting as the book-running lead managers for the transaction, with MUFG Intime India Private Limited appointed as the registrar.
Business Profile and Footprint
Founded in 1995, Encube Ethicals has evolved into an integrated formulations and contract development and manufacturing organization (CDMO) focused specifically on complex topical and transdermal dosage forms, such as ointments, creams, gels, lotions, solutions, and sprays.
The company operates across three core business verticals:
- Global Generics: Development and commercialization of generic topical products, serving primarily regulated regions such as the United States.
- Global CDMO: End-to-end development and contract manufacturing partnerships with international pharmaceutical multinationals.
- India Branded Formulations: Domestic commercial portfolio focused on prescription and consumer dermatology.
Encube operates key manufacturing and research sites in Goa and Indore. Its manufacturing assets have secured regulatory clearances and accreditations from major global watchdogs, including the US Food and Drug Administration (USFDA), Health Canada, Japan's PMDA, and European authorities.
Financial Snapshot
The company has exhibited steady growth in the run-up to its listing. In the fiscal year ended March 31, 2026, Encube recorded:
- Revenue from operations of ₹1,848.7 crore (total income of ₹1,911.8 crore), up from ₹1,369 crore in FY25.
- Profit after tax (PAT) of ₹436.7 crore, marking a sharp jump from ₹249.6 crore in the preceding fiscal year.
- Earnings before interest, tax, depreciation, and amortization (EBITDA) of ₹663.3 crore, delivering operating margins above 34%.
Significance for Indian Markets
Encube’s market debut adds to the expanding cohort of specialized Indian CDMOs and formulation leaders tapping domestic public markets. Because topical semisolid drugs have high barriers to entry—requiring strict rheological controls, specialized manufacturing lines, and complex regulatory bioequivalence studies—investors will monitor the final valuation multiples and institutional demand closely as primary market momentum continues across Indian bourses.
