SEBI Clears IPOs of Sagar Defence Engineering, Encube Ethicals, Arjun Jewellers and IFL Finance — November 6, 2026
The Securities and Exchange Board of India (SEBI) has cleared the draft offer documents of four companies—Sagar Defence Engineering, Encube Ethicals, Arjun Jewellers, and IFL Finance—granting them regulatory observations to launch their initial public offerings (IPOs) on the domestic bourses.
In SEBI’s regulatory process, the issuance of an observation letter indicates clearance to raise capital via public markets. The four issuers, which had submitted their draft papers between late July and early August, secured their clearances between late October and early November.
Key Details of the Approved IPOs
-
Sagar Defence Engineering Limited: Operating in the autonomous and unmanned systems domain, the company received SEBI’s observations on November 4 after filing through the confidential pre-filing route. Founded in May 2015 by former naval officer Captain Nikunj Parashar, Sagar Defence designs and manufactures unmanned marine surface vessels (USVs), aerial systems, and autonomous navigation solutions for the Indian Armed Forces and commercial maritime operators. Market estimates indicate an issue size ranging between ₹2,000 crore and ₹3,000 crore, consisting of a fresh issue and an offer for sale (OFS). JM Financial is acting as the book running lead manager.
-
Encube Ethicals Limited: The Mumbai-based integrated pharmaceutical manufacturer has proposed an IPO worth approximately ₹3,000 crore. The issue is structured entirely as an Offer for Sale (OFS) by promoter Mehul Madhusudan Shah and investor selling shareholder Frontier Investment Holdings Pte. Ltd. Encube Ethicals specializes in the contract development and manufacturing of topical formulations such as creams, gels, and ointments catering to regulated global and domestic markets.
-
Arjun Jewellers Limited: The regional jewellery retailer filed its Draft Red Herring Prospectus (DRHP) proposing a fresh equity issue of up to ₹200 crore to fund its retail expansion, working capital, and corporate initiatives. Saffron Capital Advisors is managing the book-running process.
-
IFL Finance Limited: The non-banking financial services player filed its draft offer document comprising a combination of a fresh issue and an offer for sale to augment its capital base and support forward loan book growth. Aryaman Financial Services is leading the public issue.
Launch Timelines and Regulatory Framework
Under SEBI regulations, issuers accessing the traditional filing route have a 12-month window from the receipt of observations to open their public issues. In contrast, companies like Sagar Defence Engineering that opted for the confidential pre-filing mechanism are granted up to 18 months to initiate their IPOs, providing greater flexibility to assess prevailing secondary market valuations, liquidity conditions, and geopolitical developments before determining issue pricing.
The clearances arrive at a time when the Indian primary market continues to see robust participation from domestic institutional investors (DIIs) and retail participants. The diverse roster—spanning deep-tech defence manufacturing, healthcare contract manufacturing, consumer retail, and lending—gives Indian market participants a broad selection of sector-specific opportunities heading into the upcoming quarters.
